Atkore Inc. (NYSE:ATKR) has announced exceptional financial results for its fiscal third quarter of 2026, exceeding analyst predictions. Simultaneously, the company revealed a definitive agreement to be acquired by Prysmian S.p.A. (BIT:PRY) in an all-cash transaction valued at $95.00 per share. This dual announcement led to a remarkable 26.64% increase in Atkore's stock during pre-market trading.

For the third quarter, Atkore's adjusted earnings reached $1.92 per share, surpassing the consensus estimate of $1.78. Revenue also outperformed expectations, hitting $794.8 million against a projected $781.08 million, marking an 8.1% rise from the previous year. Although diluted earnings per share on a GAAP basis decreased to $0.02 due to a $50.0 million litigation settlement and acquisition-related costs, adjusted EBITDA saw a 4.7% year-over-year improvement, reaching $104.7 million. Bill Waltz, President and Chief Executive Officer, expressed satisfaction with the continued operational momentum, highlighting improvements in net sales, adjusted EBITDA, and adjusted EPS compared to both the previous year and the preceding quarter. The Electrical segment was a key driver of growth, with revenue climbing 10.9% to $578.3 million, while the Safety & Infrastructure division recorded sales of $216.8 million, a 1.3% increase. Increased shipment volumes contributed $65.7 million to revenue, and improved average selling prices added $22.4 million, partially offset by divestiture-related reductions.

In other significant news, Atkore's Board of Directors declared a quarterly dividend of $0.33 per share, payable on August 28, 2026. Given the ongoing acquisition by Prysmian, the company confirmed that it would not be updating its financial guidance for the period. The market's positive reaction underscores the strategic importance of this acquisition and the underlying strength of Atkore's financial performance.

This strategic move not only validates Atkore's robust operational performance but also opens new avenues for growth and synergy within a larger corporate structure. The acquisition by Prysmian, a leader in its field, promises to enhance market reach and innovation, creating a more resilient and competitive entity. This development highlights the dynamic nature of global markets and the opportunities that arise from strategic consolidation, ultimately benefiting shareholders and fostering long-term value creation.
